Terms of Service

1. Acceptance of Terms

By accessing our website (msinnovatelabs.com), engaging our engineering studio, or using any of our in-house products, you agree to be legally bound by these Terms of Service.

MS Innovate Labs is operated by MS Innovate Labs (SMC-Private) Limited ("we", "us", or "our"). If you do not agree to these terms, you must discontinue using our website, services, and products immediately.

2. Our Services & Products

MS Innovate Labs operates as a technology studio. Our business is divided into two primary areas:

• Client Engineering Services: We provide custom software development, web platforms, mobile products, custom systems, and AI solutions for businesses and organizations.
• In-House Products: We build, own, and operate our own digital platforms. Our flagship in-house product is RoadsideHelpers (accessible via getroadsidehelpers.com), a marketplace connecting motorists with independent service providers. Additional terms or End User License Agreements (EULAs) may apply to specific products and will be presented within those products.

3. Client Engagements & Statements of Work

For our Client Engineering Services, specific development projects will be documented under an agreed Statement of Work ("SOW"), Project Proposal, or Master Services Agreement ("MSA"). Each SOW outlines the specific deliverables, project phases, timeline milestones, acceptance criteria, and fee structure.

Any modifications to project scope, features, or deadlines must be mutually agreed in writing through a formal Change Order or documented approval.

4. Intellectual Property & Ownership

We believe in transparent, client-centric intellectual property ownership:

• Client Deliverables: Upon full and final settlement of all applicable invoices, all custom source code, design assets, and bespoke deliverables produced exclusively for a client under an SOW shall become the client's sole property.
• In-House Products: MS Innovate Labs retains all rights, title, and interest in its in-house products, including RoadsideHelpers, its source code, UI/UX designs, brand marks, and underlying technology.
• Studio IP: We retain all rights to our company name, logos, website design, and pre-existing developer tooling.

5. Client Responsibilities (For Engineering Services)

To ensure successful project delivery for our engineering clients, you agree to:

• Provide clear, timely, and complete project specifications, design guidelines, and business rules.
• Supply necessary third-party API credentials, assets, and system access required for development and testing.
• Designate a primary project stakeholder authorized to make technical decisions and provide milestone sign-offs in a timely manner.

6. Payments & Fees

• Client Invoices: Fixed-scope projects are typically billed in milestone increments. Invoices are payable within fourteen (14) calendar days from the date of issuance, unless otherwise stipulated in writing. Overdue invoices may accrue interest at the rate of 1.5% per month.
• Product Transactions: Payments for services rendered through our in-house products (like RoadsideHelpers) are processed securely via third-party payment gateways. We do not store your full payment card details on our servers.

7. Limitation of Liability

To the maximum extent permitted by applicable law, MS Innovate Labs shall not be liable for any indirect, incidental, punitive, or consequential damages (including loss of profits, loss of data, business interruption, or server downtime).

Our aggregate cumulative liability arising out of or related to any engagement or product use shall not exceed the total fees paid to MS Innovate Labs in the six (6) months preceding the claim.

8. Termination

For Client Engineering Services, either party may terminate an engagement upon written notice if the other party commits a material breach and fails to cure such breach within thirty (30) days. For In-House Products, we reserve the right to suspend or terminate your access at any time if you violate these Terms.

9. Governing Law & Dispute Resolution

These Terms shall be construed and governed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising out of or related to MS Innovate Labs or its products shall be subject to the exclusive jurisdiction of the competent courts in Dera Ghazi Khan, Punjab, Pakistan.

10. Modifications to Terms

We reserve the right to revise or update these Terms of Service at any time. Changes will be effective upon posting the revised document with an updated timestamp. Continued use of our website, services, or products constitutes acceptance of the amended terms.
